These Terms of Service ("Terms") govern your access to and use of the CR Gateway API validation service (the "Service") provided by Cipher & Row LLC ("Cipher & Row," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
To use the Service, you must create an account by providing a valid email address and company name. You agree to:
You are solely responsible for safeguarding your API keys. Cipher & Row is not liable for any loss or damage arising from your failure to secure your credentials.
CR Gateway is an API-based validation service that provides:
Validation, not generation. CR Gateway validates and inspects LLM outputs. It does not generate content, provide LLM inference, or replace your AI provider. Results are informational and should be used as one input in your decision-making process.

The Free tier is provided for evaluation and low-volume use. Cipher & Row reserves the right to modify or discontinue the Free tier with 30 days' notice. Free tier accounts that are inactive for 90 consecutive days may be suspended.
Paid subscriptions may be cancelled at any time. Upon cancellation, you will retain access until the end of your current billing period. We do not provide prorated refunds for partial months. If you believe you were billed in error, contact support@cipherandrow.com within 30 days.

Cipher & Row retains all rights, title, and interest in and to the Service, including all software, algorithms, documentation, trademarks, and other intellectual property. These Terms do not grant you any right to use Cipher & Row's trademarks, logos, or branding without prior written consent.
You retain all rights, title, and interest in and to your Customer Data. By using the Service, you grant Cipher & Row a limited, non-exclusive license to process your Customer Data solely for the purpose of providing the Service. This license terminates when you delete your data or close your account.
If you provide suggestions, feature requests, or other feedback about the Service, you grant Cipher & Row a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
Cipher & Row will use commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
No SLA for Free tier. Service level commitments, if any, are available only under paid Subscription Plans and, for Enterprise customers, as specified in a separate agreement.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Cipher & Row does not warrant that the Service will detect all hallucinations, security threats, or content issues. Validation results are provided as informational signals and do not constitute guarantees of accuracy or safety.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIPHER & ROW'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL FEES PAID BY YOU TO CIPHER & ROW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
IN NO EVENT SHALL CIPHER & ROW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF CIPHER & ROW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Cipher & Row, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
You may terminate your account at any time by contacting support@cipherandrow.com or through the Dashboard. Termination takes effect at the end of your current billing period.

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting support@cipherandrow.com. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cipher & Row regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
The failure of Cipher & Row to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms without our prior written consent. Cipher & Row may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
We may modify these Terms at any time by posting the revised version on this page and updating the "Last updated" date. For material changes, we will provide at least 30 days' notice via email. Your continued use of the Service after the effective date of revised Terms constitutes acceptance.
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet outages, or third-party service failures.
